Terms and Conditions
The following Terms and Conditions of Service apply to all products and services provided by MidLink (hereinafter referred to as ML). All work is carried out by ML on the understanding that the client has agreed to our terms and conditions. Copyright is retained by ML on all design work including words, pictures, ideas, visuals and illustrations unless specifically released in writing and after all costs have been settled. If a choice of designs is presented and one is chosen for your project, only that solution is deemed to be given by us as fulfilling the contract. All other designs remain the property of ML, unless specifically agreed in writing.
At the time of proposal, ML will provide the customer with a written estimate or quotation by email. These Terms and Conditions can be read at any time on the ML website. The client may reply to the estimate or quotation and thereby acknowledge the acceptance of the estimate or quote which binds the client to accept our terms and conditions.
After receiving your company information and deposit, ML will create 3 concepts for your business, depending on the project. Designs will be submitted for your review via E-mail unless otherwise negotiated. Upon receipt of your feedback on these designs, ML will make any needed changes to your favourite design. Up to two rounds of revision are included in quoted price. Further revisions will incur additional costs at ML’s current hourly rate. ML reserves the right to invoice for any disbursements for part works carried out including third party costs incurred on a project should the project be unable to be completed for any reason or has been delayed/put on hold by the Client for a period of 4 weeks..
The customer agrees that changes required over and above the estimated work, or in addition to the agreed scope, or where the client makes changes to the supplied copy or changes required to be carried out after acceptance of the draft design, will be liable to a separate charge. The customer also agrees that ML holds no responsibility for any amendments made by any third party, before or after a design is published.
You, the client, have ownership of the final design for use in any media application that is beneficial to your business. ML retains the right to use the final design, or any versions of the design created in the process, within printed and on-line portfolios, including promotional materials such as newsletters and advertisements.
We will supply proofs and PDF files as appropriate for printing, or other graphic files as detailed in the job scope or request. Charges for design work do not cover the release of our copyright design source files, including but not restricted to indd, psd, AI, png, fla or other source files or raw code; if the Client requires these files for transfer to an in-house or other designer, they will be subject to a separate quotation or ‘buy-out’ charge.
Charges for Other Services
Charges for any additional services requested during the project that are over and above the estimated time or out of scope, will become fully payable (100% of the quoted amount) at the time of estimate or quotation acceptance.
In return for the design, the client agrees to pay the total fee payable in one payment. A non-refundable 50% deposit is required before any work begins and the remaining payment when final design is approved but before it is delivered. The client understands that the final design belongs to ML until paid in full. In the event of termination of this Agreement, ML owns the design and has the right to complete, exhibit, and/or sell the design (not including business name).
